The business
Transaction Risk Solutions (“TRS”) is an industry that provides insurance solutions for mergers and acquisitions (M&A) transactions. TRS encompasses a range of insurance products, including Warranty and Indemnity (W&I) Insurance, Tax Liability Insurance, and Contingent Liability Insurance. These products aim to protect buyers and sellers from the financial risks associated with M&A transactions, such as unexpected liabilities, breaches of warranties or tax covenants. TRS providers work closely with clients to tailor insurance policies to their specific needs, enabling them to complete transactions with greater confidence and certainty.
The role
WTW is seeking an M&A Specialist based in the Netherlands to join its global M&A team. In this position, you will expanding WTW´s market presence in the country. You will advise clients and colleagues on transaction design and facilitation, explore potential placement opportunities, and assess market developments within the M&A insurance sector.
Your main responsibilities include:
• Strengthening the Dutch market by identifying growth opportunities, building relationships, and delivering innovative, client-focused solutions;
• Providing strategic insights and tailored M&A advice to enhance client value and drive revenue from both new and existing clients;
Qualifications
The requirements
• Experienced M&A Legal Professional: 6–10 years of experience at leading law firms, with a deep understanding of negotiating and managing M&A transactions, particularly in corporate structuring and private equity transactions;
• Strong Analytical and Drafting Expertise: Proven ability to provide strategic legal advice, with strong M&A drafting skills and the capacity to handle complex transactions;
• Client-Focused & Results-Driven: Entrepreneurial spirit with a solid track record in client consultation, focused on delivering results and adding value in M&A deals;
• Effective Communicator: Fluent in Dutch and English, with excellent verbal and written communication skills, and the ability to confidently present to clients, stakeholders, and other audiences;
• Collaborative & Commercially Driven: Creative thinker with sound judgment, a strong commercial focus on warranty & indemnity insurance in M&A, and excellent people skills to work effectively under pressure and resolve conflicts constructively.
