This is an exciting role for Regional Governance & Corporate Secretary Manager on our global Secretariat team that will suit an ambitious professional who is seeking a challenging role and who enjoys a diverse and dynamic set of responsibilities.

Our global Secretariat team is currently comprised of 20+ members and is responsible for best practice corporate governance activities across the group. This role’s key responsibilities include preparation of Board meetings and minutes taking for operational entities and holdings involved in transactions, the management and coordination of the governance of WTW’s subsidiaries in the UK based on legal and regulatory requirements, Company’s policies and procedures and best corporate governance practices. The post holder will act as one of the point of contact to answer corporate governance questions across the Europe region and will be involved in promoting a consistent and high standard of governance for entities within the region as a member of the Europe team. This role will be located at the Corporate Secretarial Department in Reigate or London and will report to the Head of Governance Europe.

This is a 12-month Fixed-Term Contract role.

The Role

  • Company Secretary with a proven track record in supporting Boards of operational companies and holdings involved in restructuring, Tax projects and M&A activities.
  • Act as a facilitator within the team, establishing a positive working environment in the region including collaborating in person in the office.
  • Manage and implement the relationship with key external suppliers to the Secretariat function including onboarding and budgeting in line with Company’s policies.
  • Proactively support periodic Corporate Governance initiatives in the region such as Review Manager, Family Tree and Corporate Governance Health Checks both in centralised and decentralised set-ups.
  • Ensure that accurate corporate data and structure charts are maintained ensuring timely updates of Blueprint OneWorld corporate database.
  • Support the good standing of the subsidiaries within the region ensuring compliance with relevant legal, regulatory and corporate legislation whilst also respecting WTW Subsidiary Governance Guidance. 
  • Attend relevant Board and Committee meetings remotely as well as in person when required and be able to take minutes to a high level of proficiency.
  • Ensure the effective management of the Boards within the region including adherence to and implementation of the Board Composition Guidance and facilitating the selection and appointment of directors, on-boarding and directors’ training programs.
  • Keep up to date with the key changes in the Corporate Governance landscape within the region and promoting best practice within the team. 
  • Promote continuous improvement of processes in order to simplify and gain efficiency. 
  • Contribute to the wider WTW Secretariat department establishing and maintaining effective relationships with Local Governance Contacts, other corporate and business functions, particularly Legal, Compliance and Risk, Tax, Treasury, Finance and HR and proactively drive key projects with stakeholders.
  • Support the implementation of the Economic Crime and Corporate Transparency Act 2023 (ECCTA) and Companies House Reform.

Qualifications

What you'll bring

  • Company Secretary or Governance professional with proven transactional experience.
  • Strong expertise on UK Companies Law and cross-border transactional legal matters, including Directors’ roles and responsibilities and due diligence requirements.
  • Experience in operating in a regulated environment, ideally in the Financial Services or the Insurance sector, is desirable but not essential.
  • Knowledge, understanding and experience overseeing governance in multiple jurisdictions.
  • Experience and maturity to work autonomously but not in silo, understanding the importance to work as a team and knowing when to escalate.
  • A firm focus on achieving appropriate and consistent governance practices acting at all times with integrity and discretion, with a commitment to doing the right thing.
  • Strong team player with ability to prioritise.
  • Experience of ‘Diligent Entities’ desirable but not essential. Training can be provided.
  • Experience in Microsoft Office, including Word, Excel, PowerPoint and Teams is essential.
  • Demonstrating resilience and a flexible, solution focused approach to working in a fast paced and evolving multicultural environment.
  • Excellent organisational, communication and interpersonal skills.
  • Ability to communicate in French or other European language would be a plus but not essential.
  • Demonstrating a high degree of professionalism in the interaction with key stakeholders at all level of the organisation.
